Terms of Service — Pace

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and The Harmonia Lab LLC ("we," "our," or "us") governing your use of the Pace mobile application ("Pace" or "the App") and related services.

By downloading, installing, or using Pace, you agree to be bound by these Terms. If you do not agree, do not use the App.

2. License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Pace on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. This license also allows other accounts associated with you to access Pace via Family Sharing or volume purchasing.

3. Description of Service

Pace is an AI-powered voice recording and analysis application that provides:

  • Professional voice recording with background audio capture
  • Cloud-based transcription via third-party AI services
  • AI-generated summaries, task extraction, and mood analysis
  • Task management and mood analytics dashboards
  • Optional cloud backup to third-party storage providers

Pace requires an internet connection for transcription and AI analysis features. On-device recording and local data access are available offline.

4. Account Registration

To use Pace, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activity under your account

You must be at least 13 years old to create an account. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms.

5. Subscriptions and Purchases

5.1 Subscription Plans

Pace offers auto-renewable subscription plans that provide monthly transcription minute allocations and access to AI features. Subscription details, including pricing and included minutes, are displayed in the App at the time of purchase.

5.2 Free Tier

Pace provides a limited free tier with a small monthly minute allocation. Free tier minutes reset each calendar month and do not roll over.

5.3 Credit Packs

Pace may offer consumable credit packs (minute packs) as one-time purchases. Credit pack minutes do not expire and accumulate across purchases. When both subscription minutes and credit pack minutes are available, subscription minutes are consumed first.

5.4 Billing and Renewal

All purchases are processed through the Apple App Store or Google Play Store. By subscribing, you authorize the applicable store to charge your payment method on a recurring basis. Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period.

5.5 Cancellation and Refunds

You may cancel your subscription at any time through your device's subscription management settings (Settings → Apple ID → Subscriptions on iOS). Upon cancellation:

  • You retain access to subscription features until the end of the current billing period
  • Unused subscription minutes for the current period are not refunded
  • Any remaining credit pack minutes remain available indefinitely

Refund requests are handled by Apple or Google per their respective refund policies. We do not process refunds directly.

6. Acceptable Use

You agree not to use Pace to:

  • Record conversations without the consent of all parties where required by applicable law
  • Process content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to circumvent usage limits, create multiple accounts to exploit free tier allocations, or manipulate the billing system
  • Reverse engineer, decompile, or disassemble the App or its underlying technology
  • Use the App in a manner that could damage, disable, or impair our servers or infrastructure
  • Resell, redistribute, or commercially exploit the App's output without our written permission

We reserve the right to suspend or terminate accounts that violate these terms.

7. Your Content

7.1 Ownership

You retain full ownership of all content you create using Pace, including voice recordings, transcripts, notes, and any exported data. We do not claim any intellectual property rights over your content.

7.2 License to Process

By using Pace's transcription and AI features, you grant us a limited, non-exclusive license to transmit your audio and text content to our third-party processing providers (AssemblyAI for transcription, OpenAI for AI analysis) solely for the purpose of providing the requested service. This content is not stored by these providers after processing is complete and is not used for model training.

7.3 Responsibility for Content

You are solely responsible for the content you record and process through Pace. You represent that you have the legal right to record and process all audio content submitted to the App.

8. AI-Generated Content

Pace uses artificial intelligence to generate summaries, extract tasks, detect mood, and categorize your notes. You acknowledge that:

  • AI output is not guaranteed to be accurate. Summaries may omit details, task extraction may miss or incorrectly identify action items, and mood detection is an approximation based on language patterns.
  • AI output is not professional advice. Mood analytics are for personal reflection only and do not constitute medical, psychological, or therapeutic advice.
  • You are responsible for reviewing AI output. Do not rely on AI-generated tasks, dates, or summaries without verifying their accuracy.
  • AI capabilities may change. We may update AI models and providers, which may affect the style or quality of generated content.

9. Third-Party Services

Pace integrates with third-party services to provide its functionality:

  • AssemblyAI — Speech-to-text transcription
  • OpenAI — AI analysis (summaries, tasks, mood)
  • Dropbox — Optional cloud backup (user-initiated)
  • Apple/Google — Payment processing and subscription management

Your use of these third-party services through Pace is subject to their respective terms of service and privacy policies. You must comply with all applicable third-party terms of agreement when using Pace — for example, you must not violate your wireless data service agreement or internet service provider terms when using the App's network features.

We are not responsible for the availability, accuracy, or conduct of third-party services.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to Pace or its cloud features. The service may be temporarily unavailable due to:

  • Scheduled or emergency maintenance
  • Third-party service outages (transcription, AI providers)
  • Network or infrastructure issues beyond our control

On-device features (recording, local playback, offline note access) remain available regardless of server status.

11. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points:

  • Voice recordings are stored locally on your device by default
  • Audio sent for transcription is not retained by processing providers
  • You can delete your account and all associated server data at any time
  • We do not sell your data or use your content for advertising

12. Intellectual Property

The Pace application, including its design, code, features, branding, and documentation, is owned by The Harmonia Lab LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand elements.

You may not copy, modify, distribute, or create derivative works based on the App except as expressly permitted by applicable law.

13. Disclaimer of Warranties

PACE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The App will meet your specific requirements
  • Transcriptions will be 100% accurate
  • AI-generated analysis will be correct or complete
  • The service will be uninterrupted, timely, or error-free
  • Any defects will be corrected

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE HARMONIA LAB LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE PACE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitations on implied warranties or liability for incidental damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless The Harmonia Lab LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of Pace in violation of these Terms
  • Your violation of any applicable law, including recording consent laws
  • Your content or any activity conducted through your account

16. Termination

We may suspend or terminate your access to Pace at any time if you violate these Terms or engage in conduct that we determine is harmful to us, other users, or third parties. Upon termination:

  • Your right to use the App ceases immediately
  • Active subscriptions will not be renewed
  • Local data on your device remains accessible
  • Server-side data will be retained for 30 days to allow data export, then permanently deleted

You may terminate your account at any time by using the Delete Account option in Settings.

17. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify you through the App or via email for significant changes

Your continued use of Pace after changes take effect constitutes acceptance of the revised Terms. If you disagree with any changes, you should stop using the App and delete your account.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Delaware.

19. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Harmonia Lab LLC regarding Pace.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
  • Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms. We may assign our rights to a successor entity in the event of a merger, acquisition, or sale of assets.

20. Legal Compliance

By using Pace, you represent and warrant that:

  • You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country
  • You are not listed on any U.S. Government list of prohibited or restricted parties

21. Apple-Specific Terms

If you downloaded Pace from the Apple App Store, you acknowledge that:

  • These Terms are between you and The Harmonia Lab LLC, not Apple Inc.
  • Apple has no obligation to provide maintenance or support for Pace
  • In the event of any failure of Pace to conform to applicable warranties, you may notify Apple for a refund of the purchase price (if any); Apple has no other warranty obligation
  • Apple is not responsible for addressing any claims relating to Pace or your use of it
  • In the event of a third-party intellectual property claim, The Harmonia Lab LLC, not Apple, is responsible for the investigation, defense, and settlement
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you
